Phase IV

Client’s Principal Objective for Investing in :

Receive a sale price for the company at or near the target by selling it for its strategic value (rather than only for its financial value) and by the target date.

Phase IV Objective:

Ensure that the professional sales team is experienced and highly competent. Relieve management of much of the burden for liaison with the sales team.

Phase IV Deliverables:

1. Excellent professional team delivering the sale
2. Reduced workload and stress associated with managing the sale process

Support

1. Advice and assistance with selecting the professional team, including:

• Merger & Acquisition (M&A) Broker
• M&A Attorney
• M&A CPA

2. Liaison with the professional team on all aspects of the sale process, including:

• Identification of prospective buyers and categories of buyers (including those identified in Phase II)
• Development of the non-confidential memorandum to be delivered to a broad spectrum of prospective buyers
• Analysis of responses
• Development of the confidential memorandum to be delivered (under protection of a non-disclosure agreement) to the most promising prospective buyers
• Collection and presentation of financial information for key prospective buyers
• Solicitation, collection and analysis of financial information from prospective buyers
• Development of the final “short list” of prospective buyers
• Establishment of an “auction” environment among those on the short list
• Negotiations
• Formal sale contract
• Other aspects of the sale process as appropriate

Fee Structure

Annual Sales $1-5 million

• $7,500* PLUS

• 1% of the sale price OR

• 7.5% of the amount by which the sale price exceeds an agreed upon minimum

Annual Sales $5-10 million

• $10,000* PLUS

• 1% of the sale price OR

• 7.5% of the amount by which the sale price exceeds an agreed upon minimum

Annual Sales $10-50 million

• $15,000* PLUS

• 1% of the sale price OR

• 7.5% of the amount by which the sale price exceeds an agreed upon minimum

*Payable in four (4) equal monthly installments.
